In the Agreement, terms not defined in the Standard Terms and Conditions have the meaning given to them in the Commercial Terms. The following terms have the following meanings:
Account means the registered account a User obtains to access the System;
Active Account has the meaning given to it under clause 4.3 (a) herein;
Affiliate means, in relation to a party, any entity that Controls, is under the Control of, or is under common Control as, that party;
Agreement means these Standard Terms and Conditions, the accompanying Commercial Terms and any schedules, annexes and appendices thereto, and Specific Terms, which constitute a binding agreement between Gojek and the Corporate User in relation to GoCorp Services;
Applicable Law means all applicable laws, by-laws, enactments, regulations, regulatory policies, ordinances, protocols, industry codes, road traffic codes, regulatory permits, regulatory licences or requirements of any court, tribunal or governmental, statutory, regulatory, judicial, administrative or supervisory authority or body, which are in force from time to time in the Territory and during the Term;
Authorised User means a User with an Active Account that has been authenticated and linked to a Corporate User Account, and who is authorised to utilise GoCorp Services in conjunction with their use of the User Application as set out in clause 4.4 herein;
Authorised User Data has the meaning given to it under clause 4.4 herein;
Business Day means any day (other than Saturday, Sunday or public holidays) in each Territory where GoCorp Services are performed;
Calendar Day means any day from Monday to Sunday, including public holidays and collective on leave;
Commercial Terms means accompanying commercial terms and any other parts of the Agreement executed between Gojek and the Corporate User in relation to GoCorp Services;
Confidential Information means all information (whether or not marked “confidential”) that is confidential in nature or otherwise concerning the business, staff, officers,customers, clients or suppliers of a Party or any of its Affiliates, which is being disclosed by such Party, its Affiliates, or any of their authorised representatives (“Disclosing Party”), to the other Party (“Receiving Party”), including information that is not generally known to the public at the time of disclosure, any information that can be reasonably be regarded as a “trade secret” of the Disclosing Party, and includes the terms and conditions of the Agreement, details of any negotiations related to the Agreement and any other agreements or documents signed by the Parties in connection with the Agreement;
Control (including related meanings, “Controlled by”, “Controlling”, “under the same Control as”) means, in connection with a corporation, the right to use, directly or indirectly, more than 50% of the voting rights in shares in a controlled corporation, the right to appoint or terminate more than half of the members of the board of directors or board of commissioners or government or similar management of the corporation and/or the right to regulate or ensure regulation of the management or policy of the corporation either through ownership of shares with voting rights, based on contract or others;
Corporate Admin Corporate Admin means any Corporate User employee and/or other third party who has been appointed and authorised to access and manage the GoCorp Dashboard on the Corporate User’s behalf, as may be updated and notified to Gojek from time to time;
Corporate Billing means the billing and payment process for the Corporate User to disburse User Fees incurred by its Authorised Users to Service Providers via Gojek;
Corporate User means the entity that has registered to use GoCorp Services, including the GoCorp Dashboard, as stated in the Commercial Terms;
Corporate User Account has the meaning given to it under clause 3.2 herein;
Corporate User Representative means the representative of the Corporate User as stated in the Commercial Terms;
Dashboard Data has the meaning given to it under clause 3.2 (b) herein;
Designated Gojek Affiliate has the meaning given to it under clause 14.5 herein;
Driver Application means the electronic application supplied by Gojek and/or Gojek Group Companies for Driver to connect with Users;
Partnership Agreement means the agreement between Gojek and Service Provider;
Effective Date has the meaning given to it under the Commercial Terms;
Force Majeure has the meaning given to it under clause 12 herein;
GoCorp Dashboard means the online dashboard provided by Gojek to the Corporate User, to enable the Corporate User and/or its Corporate Admins to access certain administration and billing solutions, as described in the Agreement, in conjunction with the use of the System and User Application by the Authorised Users;
GoCorp Services means the products and services made available to the Corporate User and its Authorised Users through the GoCorp Dashboard or Corporate Billing function in the System in accordance with the Agreement, and is inclusive of the GoCorp Dashboard;
GoCorp Service Fee means the fee to be charged by Gojek to the Corporate User for the utilisation of the GoCorp Dashboard and other GoCorp Services provided by Gojek to the Corporate User and its Authorised Users pursuant to the Agreement;
Gojek means the entity stated in the Commercial Terms;
Gojek Representative means the Gojek representative as stated in the Commercial Terms;
Government means any national, regional or local government, or governmental, statutory, regulatory, administrative, fiscal, judicial or government-owned body, department, commission, authority, tribunal, or agency in the Territory;
Group Companies means a person or entity and his/its Affiliates (and Group Company will be construed accordingly);
Initial Term has the meaning given to it under the Commercial Terms;
Intellectual Property Rights means: (a) copyright, patents, database rights and rights in trademarks, designs, know-how and Confidential Information (whether registered or unregistered); (b) applications for registration, and the right to apply for registration, for any of these rights; and (c) all other intellectual property rights and equivalent or similar forms of protection existing anywhere in the world;
Invoicing Document has the meaning given to it under clause 5.1 (a) herein;
Notice means any notice or other communication to be given under or in connection with the Agreement;
Party means a party to the Agreement and Parties shall be construed accordingly;
Personal Data means any information or access thereto that: (i) identifies or can be used to identify an individual; or (ii) can be used to authenticate an individual, in both aforementioned cases;
Policies means any policies (including Gojek’s Privacy Policy), guidelines or information applicable to Users and/or Corporate Users, as may be updated by Gojek from time to time;
Prohibited Conduct means any act to:
Specific Terms means the supplementary or alternative terms which may apply to certain specific parts of the System, GoCorp Dashboard and/or Services, as may be notified to the Corporate User and/or Users from time to time. Specific Terms stated in the User Terms of Use shall also be incorporated into the Agreement by reference;
System means the system provided by Gojek to connect Service Providers with Users, including the Driver Application, the User Application and related software, websites, platforms, and other support systems and services. For the avoidance of doubt, the System does not include the Transportation Services themselves, as these are provided by Service Providers directly to Users;
Term means the effective term of the Agreement, as set out in the Commercial Terms; Territory has the meaning given to it under the Commercial Terms;
Transaction Data means transaction data of the Services, including but not limited to, Authorised User ID, origin, destination, time, service type and price, and expressly excludes any forms of Personal Data;
Transfer Request Document has the meaning given to it under clause 5.5 (b) herein;
Service Provider means any independent third-party service provider who offers Services to Users, having been connected to Users via the User Application. The relationship between Service Provider and Gojek is independent contractors in partnership. There is no joint venture relationship between Gojek and the Service Provider
Services means the transportation services, courier services, logistic services, food delivery services, provided by Service Providers to the Authorised Users when they are connected via the System, and any other services available from Service Providers via the System from time to time. The User Application and the System shall be used by the Authorised User in accordance with Gojek’s User Terms of Use as applicable to the Territory in which the Authorised User is situated, and as may be updated by Gojek and/or its Affiliates from time to time;
User means a registered end user of the User Application. For the purposes of this Agreement, references to Users include Authorised Users;
User Application means the electronic application supplied by Gojek and/or Gojek Group Companies for Users to connect with Service Providers;
User Fees means any fees, tariff and other associated fees in regards to the Services charged by the Service Provider to the User as mentioned in the User Terms of Use;
User Terms of Use means the Gojek User Terms of Use (accessible at https://www.gojek.com/en-id/terms-and-condition/gojek) and all applicable Specific Terms; and
Voucher means electronic monetary value or credit that, when validly applied by a User, may be used to offset certain fees payable by the User via the User Application, in accordance with the terms and conditions specified by Gojek.

We thank you for your trust as an individual or Corporate User (“You”/”Your”) in GoCorp Service. Please take Your time to read the whole Specific Terms - GoCorp Prepaid.
This Specific Terms - GoCorp Prepaid are an integral part of GoCorp Standard Terms and Conditions and GoCorp Commercial Terms. By choosing to use the GoCorp and GoCorp Dashboard, You will be deemed to have read and agree to these Specific Terms - GoCorp Prepaid. Therefore, if You do not agree to part or all of these Specific Terms - GoCorp Prepaid, please refrain from using the GoCorp Dashboard.
Unless specifically defined below and in other parts of the GoCorp Feature Terms, capitalized terms used in the GoCorp Terms must be interpreted in accordance with the terms in the GoCorp Standard Terms and Conditions and GoCorp Commercial Terms.
GoCorp Prepaid means the use of GoCorp Services and Services where payment is made in advance before use. This payment may include, but is not limited to, payment for User Fees or other charges (if any and applicable).
Active Period means the validity period of the GoCorp Prepaid usage. While your GoCorp Prepaid status is within the Active Period, you can access and use the Services with the GoCorp Service.
Grace Period means the 30 (thirty) calendar days following the end of the Active Period.
To use GoCorp Prepaid, You must complete the digital GoCorp Commercial Terms as provided here and top up your GoCorp Prepaid balance with a minimum amount of IDR 500,000 (five hundred thousand Rupiah) for the first top-up.
The top-up of GoCorp Prepaid balance is conducted in accordance with the procedures communicated and/or determined by Gojek and may change from time to time. The topped-up GoCorp Prepaid balance will appear on the GoCorp Dashboard.
You understand and agree that the amount of the GoCorp Prepaid balance you topped up will appear on the GoCorp Dashboard within a minimum of 1 (one) Business Day after the date you performed the GoCorp Prepaid top-up.
You understand and agree that the GoCorp Prepaid balance that has been topped up cannot be withdrawn or refunded to you, except in certain circumstances, which are entirely at Gojek's discretion.
Your available GoCorp Prepaid balance may be reviewed in your GoCorp Dashboard. You are solely responsible for verifying that the proper amount of GoCorp Prepaid balance has been added to or deducted from your balance. Your GoCorp Prepaid balance is not a bank account, digital wallet, or other payment instrument
The Active Period of GoCorp Prepaid may end if:
There has been no activity to top up the GoCorp Prepaid balance for 150 (one hundred fifty) calendar days since the creation of the GoCorp Dashboard.
There has been no activity to top up the GoCorp Prepaid balance for 150 (one hundred fifty) calendar days since the last GoCorp Prepaid balance top-up; or
There has been no activity using the Services by an Authorized User through GoCorp Services for 150 (one hundred fifty) calendar days since the last use of the Services by an Authorized User through GoCorp Services
If the Active Period ends, your GoCorp Prepaid status will transition to a Grace Period. During this Grace Period, you will still receive notifications from us to keep your GoCorp Prepaid active by performing a top-up and/or using GoCorp Services. However, if the Grace Period ends without any action from you, your GoCorp account and GoCorp Prepaid will be deactivated and can no longer be used. To reactivate your Active Period, you can top up your GoCorp Prepaid balance or use the Services through GoCorp Services.
If there is still a remaining GoCorp Prepaid balance after the Grace Period has ended, this shall constitute your explicit agreement for Gojek to charge a Maintenance Fee for system maintenance, equivalent to the remaining balance. Consequently, we reserve the right to take actions we deem appropriate for the closure of the account associated with your GoCorp Prepaid.
Gojek is entitled to a GoCorp Service Fee amounting to IDR 1,000,000.00 (one million Rupiah). The GoCorp Service Fee represents the value of the services provided by Gojek, and Gojek will waive its right to collect this fee from the Corporate User until a written agreement is reached between Gojek and the Corporate User. GoCorp Service Fee does not include Value Added Tax (VAT) in accordance with applicable tax regulations.
Unless otherwise specified in the Specific Terms - GoCorp Prepaid, the use of GoCorp Services will be subject to the Commercial Terms, including the Standard Terms and Conditions of GoCorp.
These Specific Terms - GoCorp Prepaid., in part or in whole may be modified, added, or changed from time to time based on Our own policies without notification to You.

Role means the categorization of Corporate Admin who have different authorities and/or capabilities in the GoCorp Dashboard as determined by Gojek from time to time.
Role Designation means the designation of a Role carried out by You in accordance with the procedures established by Us from time to time.
Role Verification means verification of data and/or information or other documents by Us related to the Role Designation as conveyed by You.
In using the GoCorp Dashboard, You can designate a certain Role for Corporate Admin. Further provisions on the Role of Corporate Admin can be accessed at the link https://www.gojek.com/blog/gocorp/peran-admin.
You can designate Role by fulfilling the Role Verification requirements set by Us, which may be changed from time to time, including but not limited to the submission and/or uploading of data and/or information or any other documents.
You acknowledge and agree that You are responsible for periodically reviewing the Role, including any authorities and/or capabilities applicable to them, attached to the GoCorp Dashboard.
The provisions relating to Corporate Admin as set out in the Commercial Terms and/or GoCorp Standard Terms and Conditions as well as other rules and/or policies relating to Corporate Admin, as relevant and applicable, shall apply mutatis mutandis to all Role available to Corporate Admins.
We have the right, based on our own considerations and policies, to determine all authorities and/or capabilities of each Role including but not limited to carrying out any development, changes, reductions and/or additions to, and for the authorities/or capabilities of, a certain Role. You acknowledge that the determination of the authorities and/or capabilities as referred to herein is Our own policy which cannot be contested by You and/or any other party. You release Us from all claims/lawsuits and any legal demands in any form whatsoever and from any party including You in connection with the determination, selection or arrangement of Role as referred to in this Specific Terms - Corporate Admin Role Designation.
Unless otherwise specified in the Specific Terms - Corporate Admin Role Designation, the use of GoCorp Services will be subject to the Commercial Terms, including the Standard Terms and Conditions of GoCorp.
