Access and use of the concierge.gojek.com portal (“Portal”) is subject to these Portal Terms of Use (“Portal Terms of Use”) which are an integral part of the GoCorp General Terms and Conditions here and the Gojek User Terms of Use here. As well as any additional terms, policies, guidelines or other directives that Gojek will enforce from time to time with reasonable notice, including policies implemented through Portal links ("Policies").
In the event of a discrepancy or difference in interpretation between the Portal Terms of Use with (i) the Gojek User Terms of Use; and/or (ii) GoCorp General Terms and Conditions, then:
if related to the use of Gojek Services, the Gojek User Terms of Use shall apply;
if related to the use of GoCorp Services and all derivative products and features, GoCorp General Terms and Conditions shall apply; and
If related to the use of this Portal, this Portal Terms of Use shall apply.
Corporate User have complete freedom to choose to use or stop using the Portal.
Corporate User agrees to access or use the Portal only for the purposes as specified in these Portal Terms of Use and not to misuse or use the Portal or Services for fraudulent purposes, causing inconvenience to others, to place fake orders or any other actions that can or are deemed to be possible to cause harm in any form to other people.
Corporate User understands and agrees that all risks arising from the use of the Portal are entirely the responsibility of Corporate User and Corporate User hereby agrees to release Gojek and/or its Affiliates from any claims relating to damage, disruption or other forms of system disruption caused by unauthorized access to the Portal by other parties.
By continuing to access or use the Portal, Corporate User agrees to submit and comply with all provisions of relevant laws and regulations as well as the Portal Terms of Use including all amendments. Immediately stop accessing or using the Portal if the Corporate User does not agree with any part of these Portal Terms of Use.
Portal Account Registration and Portal Access
Before using the Portal, the Corporate Admin must designate an administrator to use the Portal (“Concierge Admin”) through the GoCorp Dashboard. The Concierge Admin who can be appointed is an Authorised User from Corporate User.
The Corporate Admin will notify Gojek, the Authorised User of the Corporate User appointed as Concierge Admin.
Gojek will activate the Authorised User account designated as Concierge Admin to use the Portal (“Portal Account”).
Gojek will inform the Authorised User appointed as Concierge Admin through email about the appointment of the Authorized User as Concierge Admin, so that they can start using the Portal.
In the event that the Concierge Admin has logged-out from the Portal Account, the Concierge Admin needs to enter the registered phone number of the Concierge Admin used for the Portal Account to be able to use the Portal again.
Corporate Admins can remove Concierge Admin’ access to Portal Account by notifying Gojek.
Portal Account
The Portal Account can only be used by the Concierge Admin and cannot be transferred to any other party or person for any reason. For the avoidance of doubt, the Concierge Admin is the authorized representative of the Corporate User in the use of the Portal.
The security and confidentiality of the Portal Account, including registered name, registered email address, password and registered phone number is the sole responsibility of the Corporate User and/or Concierge Admin. All losses and risks resulting from negligence by Corporate Users and/or Concierge Admin in maintaining security and confidentiality as stated are borne by Corporate Users and/or Concierge Admins. In such case, Gojek will consider every use of the Portal made via the Portal Account as a valid request from the Corporate User and/or Admin Concierge.
Corporate Users and/or Concierge Admin are obliged to immediately notify Gojek if they know or suspect that the Portal Account has been used without the knowledge and consent of Corporate Users and/or Admin Concierge. Gojek will take action that is deemed necessary and Gojek can take with regard to such unauthorized use.
Use of Portal
Gojek may, from time to time, develop the Portal including modifications, improvements, strengthening, updating, additions part and/or all of the programs, data and information therein to provide the best experience for Corporate User ("Update"). In the event that Update to the Portal is in progress, the Portal may not be able to operate optimally for a certain period of time.
If the Corporate User does not agree to these Portal Terms of Use and other relevant provisions, but continues to access or use the Portal through the Portal Account accessed and/or used by the Concierge Admin, the Corporate User represents and warrants that the opening of the Portal Account and the activities carried out in the Portal has obtained sufficient approval in accordance with applicable law. Corporate User expressly waives any legal rights to cancel or revoke any and all consents granted under these terms.
Subject to the provisions regarding Intellectual Property Rights in this Portal Terms of Use, the Portal and other intellectual property, including but not limited to, names, logos, program / source codes, designs, trademarks, technology, processes and business models, are protected by copyright, trademark, patents and/or other intellectual property rights available under applicable law which are registered and/or recorded and/or owned either in the name of Gojek, Gojek Affiliates or Gojek licensors. Gojek (and Gojek's licensors) own all rights and interests in the Portal, including all intellectual property rights related to all features contained therein and related intellectual property rights.
Gojek grants Corporate User and/or Concierge Admin a revocable, limited, non-exclusive, non-transferable, non-sublicensable and royalty-free license to access and use the Portal, as is, solely for purposes related to the use of the Portal. Other rights and privileges which are not expressly provided in this Portal Terms of Use, are the rights of Gojek or Gojek's licensors.
Any duplication, distribution, creation of derivative works, sale or offer to sell, display in whole or in part, as well as use of the Portal, including but not limited to the use of additional applications such as modified applications, emulators, etc., that deviate from the Portal Terms of Use This is a violation of Gojek's intellectual property rights.
In using the Portal, Corporate Users and/or Concierge Admin may not:
remove any copyright notice, trademark or other proprietary rights notice contained in the Portal;
copy, modify, adapt, translate, create derivative works from, distribute, license, sell, transfer, display in public whether in whole or in part, reverse engineer, transmit, move, broadcast, decompile or disassemble any part from or otherwise exploit the Portal (including the software and features therein);
license, sublicense, sell, resell, assign, transfer, distribute or commercially exploit or make available to other parties the Portal and/or software by creating an internet link to the Portal or any "frame" or "mirror" to any software on other servers or wireless or internet-based devices;
launch automatic programs or scripts, including but not limited to, web spiders, web crawlers, web robots, web ants, web indexers, trojan horses, bots, viruses or worms, or any program that may make multiple server requests per second, create a heavy burden or hinder the operation and/or performance of the Portal;
use any site search or retrieval application, other manual or automatic device to scrape, index, survey, data mine, or in any way reproduce or circumvent the navigational structure or presentation of the Portal or its contents;
publish, distribute or reproduce in any way material protected by copyright, trademarks or other information owned by Gojek without prior express approval from Gojek or the rights owner who licenses such rights to Gojek;
Unauthorizedly use and/or access the Portal to (a) damage, impair or compromise any aspect of the Portal, or related systems and networks, and/or (b) create similar competing products or services using similar ideas, features, functions or graphics of the Portal;
sending or storing any material for purposes that violate the applicable law, including but not limited to fraudulent acts (for example impersonating another person or entity, or otherwise providing false statements or information regarding Corporate User and/or Concierge Admin and/or Users with other people or entities) , harassing, obscene, threatening, defamatory;
send spam or other unsolicited messages, or cause annoyance, inconvenience, or create false and/or fake information or orders; and/or
damage the reputation of Gojek or any of Gojek's Affiliates in any way.
Hardware
Concierge Admin’s access and/or use of the Portal is via hardware that can access the Portal ("Hardware").
Corporate User and/or Concierge Admin are solely responsible for the procurement and use of Hardware including but not limited to purchasing the Hardware itself.
Corporate Uses and/or Concierge Admin are responsible for having access to the internet, data packages for the internet and any fees charged to Corporate User and/or Concierge Admin from telecommunications service providers for communication, such as telephone, SMS and internet usage fees. Corporate User and/or Concierge Admin acknowledge that use of the Portal by Concierge Admin may result in the use of large amounts of data and Corporate Users and/or Concierge Admin are responsible for such use including costs associated with such use.
If the Hardware is lost, stolen, damaged, and/or no longer owned by the Corporate User and/or Concierge Admin, and this may open or disclose Portal Account information to other party or cause losses to Gojek, Corporate User and/or Concierge Admin must immediately notify Gojek and follow the procedures notified by Gojek.
Corporate User and/or Concierge Admin may not lend, rent, or transfer the Portal Account or Hardware of Corporate User and/or Admin Concierge to other party for the purpose of accessing the Portal Account without prior written approval from Gojek.
Account Portal Freezing
With reasonable notice and in accordance with applicable regulations, the Portal Account can be frozen temporarily or permanently by Gojek for reasons, including but not limited to, as follows:
there is a report from a Corporate User, Corporate Admin and/or Concierge Admin that the Portal Account is being used or suspected of being used or misused by another party;
Gojek knows or has sufficient reasons to suspect that the Portal Account has been transferred or used by another party;
Gojek knows or with reasonable grounds suspects that things have occurred which in Gojek's opinion have or could harm Gojek, its Affiliates, Corporate User, Authorized User of Corporate User, or other parties;
Gojek's system detects any unusual actions from the Portal Account usage or obligations arise based on the Portal Terms of Use, GoCorp General Terms and Conditions and/or Gojek User Terms of Use which are not fulfilled by Corporate User and/or Concierge Admin;
Corporate User and/or Concierge Admin use the Portal in a way that is contrary to this Portal Terms of Use or applicable laws and regulations;
Corporate User do not fulfill ita obligations based on, including but not limited to, this Portal Terms of Use, Gojek User Terms of Use and GoCorp General Terms and Conditions, including the obligation of User Fees distribution, made by Authorized User to Service Providers through Gojek and/or payment of GoCorp Service Fee, as applicable to Gojek; and/or
there is an order to freeze the Portal Account, either temporarily or permanently, issued by the relevant government or monetary institution or based on a court order issued in accordance with applicable laws and regulations.
Gojek does not have any obligations to Corporate User, Concierge Admin and/or Authorized User of Corporate User for matters arising from the temporary or permanent freeze of the Portal Account. However, Corporate User, Concierge Admin and/or Authorized User of Corporate User remain responsible for completing the obligations of Corporate User, Concierge Admin and/or Authorized User of Corporate User that have arisen including, but not limited to, any obligations that may arise as a result of existing disputes, claims or other legal actions, before the date of temporary or permanent freeze of the Portal Account.
If the Portal Account has been frozen in accordance with the provisions above and the Corporate User and/or Concierge Admin has clear evidence that the Portal Account should not be frozen, the Corporate User and/or Concierge Admin can make a report to Gojek to submit this evidence. After conducting further examination of the report, Gojek may, at Gojek's sole discretion, determine to terminate or continue the freeze of the Portal Account. The freeze will not continue unreasonably if Gojek decides that the matters that caused the freeze have been resolved.
Responsibilities of Corporate User and/or Concierge Admin
Corporate User and/or Concierge Admin are fully responsible for the decisions they make to use or access the Portal through the Portal Account.
Corporate User and/or Concierge Admin are fully responsible for any losses and/or claims arising from the use of the Portal through the Portal Account, whether by Corporate User, Concierge Admin or other parties using the Portal Account, in a way that is contrary to this Portal Terms of Use and/or applicable laws and regulations, including but not limited to anti-money laundering, anti-terrorism financing, criminal activity, fraud in any form (including but not limited to phishing and/or social engineering activities), violation of intellectual property rights, and/or other activities that are detrimental to the public and/or any other party or which can or is considered to damage the reputation of Gojek and/or its Affiliates.
Limitation of Liability of Gojek
Gojek provides the Portal as is and Gojek does not represent or guarantee that the reliability, timeliness, quality, suitability, availability, accuracy, completeness or security of the Portal can meet the needs and will meet the expectations of Corporate User, Concierge Admin and/or Authorized User of Corporate User. Gojek is not responsible for any losses or damages caused by any failure or error of Corporate User, Concierge Admin and/or Authorized Users of Corporate User in complying with these Portal Terms of Use.
The Portal may experience limitations, delays and other problems inherent in internet use and electronic communications, including damaged Hardware, not connecting to the internet, being out of range, being turned off or not working. Gojek is not responsible for delays, delivery failures, damages or losses resulting from these problems.
Gojek is not obliged to monitor Corporate Users' and/or Concierge Admin's access or use of the Portal. However, Gojek continues to carry out supervision for the purpose of ensuring smooth use of the Portal and to ensure compliance with the Portal Terms of Use, applicable laws and regulations, court order, and/or provisions of administrative institutions or other government bodies.
